This is a Share Subscription Agreementthat is to be used where:

1. there is more than onecurrent shareholder;
2. the issuing company only has par value sharesin existence;
3. the issuing company has enough authorised par value shares in existence to issue the subscription shares; and
4. where the issuing company does not wish to convert the par value shares to no par value sharesThis is a Share Subscription Agreementthat is to be used where:
